1. Acceptance of Terms

Welcome to Upeku. By accessing upeku.com and using the Upeku app-discovery platform (the “Platform”), you acknowledge that you have reviewed, understood, and agree to be bound by these Terms of Service (the “Terms”) and to comply with all applicable laws and regulations. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform.

You represent that you possess the legal capacity to enter into these Terms or that you are acting with the consent of a parent or guardian if you are under the age of majority in your jurisdiction. Upeku reserves the right to modify the Terms at any time. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms. We will strive to provide notice of material changes where feasible.

2. Intellectual Property Rights

All intellectual property on the Platform—including but not limited to text, graphics, logos, trademarks, and software—is owned by Upeku or its licensors and is protected by applicable intellectual property laws. The Upeku name, logo, and marks may not be used in any manner without prior written consent.

Subject to your compliance with these Terms, Upeku grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes solely to discover and evaluate apps listed on the Platform. You may not copy, reproduce, modify, distribute, host, or create derivative works of Platform content except as expressly permitted by Upeku or required by applicable law.

With respect to content you submit to the Platform (for example, reviews or comments), you retain ownership of that content but grant Upeku a worldwide, non-exclusive license to display, reproduce, modify, adapt, publish, translate, and distribute such content as necessary to operate, promote, and improve the Platform. You are responsible for ensuring your submissions do not infringe the rights of others and comply with these Terms.

3. Third-Party Links and Apps Hosted on Google Play

The Platform may include links to third-party apps and services that are hosted on Google Play. Upeku does not host, control, or maintain these apps on our servers, and we do not curate their content or functionality. Google Play governs the availability, security, and integrity of those apps, and your use of any such apps is subject to Google Play’s terms and policies as well as the developers’ terms.

Upeku provides these links for convenience and discovery. Any transactions, data collection, or interactions you undertake with third-party apps are solely between you and the applicable third party or Google. Upeku disclaims any responsibility for the content, accuracy, safety, or legality of third-party apps, and you use them at your own risk.

4. Disclaimers and Limitation of Liability

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. UPEKU DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, UPEKU DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

UNDER NO CIRCUMSTANCES SHALL UPEKU OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM, THE USE OR INABILITY TO USE THE PLATFORM, OR ANY THIRD-PARTY APPS ACCESSIBLE THROUGH THE PLATFORM. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF UPEKU EXCEED THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO UPEKU DURING THE SIX MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If applicable law prohibits these exclusions, the limitations shall apply to the maximum extent permitted by law.

5. Changes to Terms; Contact Information

Upeku may revise these Terms from time to time at its sole discretion. We will publish any material changes on the Platform and, where feasible, provide notice of such changes. Your continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms.
